Auto-Renewal Agreement

Axsa Technologies (“we,” “us,” or “our”), an Indian company headquartered in Mumbai, Maharashtra, India, operates CloudSave, a cloud storage and content-sharing platform. This Auto-Renewal Agreement (“Agreement”) governs the auto-renewal terms for in-app purchases of subscription plans (including ad-free access) and premium/pro subscriptions, as well as channel subscriptions, made through the CloudSave mobile applications on Android (via Google Play Store) and iOS (via Apple App Store) platforms (“Apps”). By purchasing a subscription or subscribing to a channel, you agree to be bound by this Agreement, in addition to our Terms of Service, Privacy Policy, CloudSave Coins Terms, Refund Policy, Channel Policy, and Monetization Policy. If you do not agree, please do not make purchases or use the Services.

1. Scope of This Agreement

This Agreement applies to the following subscription types within CloudSave:

  • Subscription Plans (Including Ad-Free Access): Paid in-app purchases for access to an ad-free experience, processed through the Google Play Store or Apple App Store.
  • Premium/Pro Subscriptions: Paid in-app purchases for enhanced features, such as increased storage, priority uploads, or advanced sharing options, processed through the Google Play Store or Apple App Store.
  • Channel Subscriptions: Paid subscriptions to access premium content on user-created channels, funded via CloudSave Coins from your CloudSave wallet.

2. Subscription Plans (Including Ad-Free Access)

2.1 Subscription Plans

Subscription plans, which include ad-free access to the CloudSave platform, are offered on a recurring basis with the following billing cycle:

  • Monthly: Renews every 30 days.

Plan details, including features and pricing (inclusive of applicable taxes, such as GST), are displayed in the Apps at the time of purchase.

2.2 Auto-Renewal

  • Your subscription plan will automatically renew at the end of each monthly billing cycle unless you cancel it before the renewal date.
  • The subscription fee will be charged to the payment method on file with the Google Play Store or Apple App Store, at the price displayed at purchase, plus applicable taxes.
  • Renewal charges are processed within 24 hours before the current billing cycle ends, ensuring uninterrupted ad-free access.

2.3 Cancellation

  • You may cancel your subscription plan at any time through your platform account settings:
    • Android: Open Google Play Store > Subscriptions > CloudSave > Cancel Subscription.
    • iOS: Go to Settings > [Your Name] > Subscriptions > CloudSave > Cancel Subscription.
  • Cancellation takes effect at the end of the current monthly billing cycle, allowing you to enjoy ad-free access until the cycle ends.
  • No prorated refunds are provided for mid-cycle cancellations unless eligible under our Refund Policy.

2.4 Price Changes

  • We may adjust subscription plan prices due to changes in costs, features, or market conditions.
  • Price changes will apply to your next billing cycle, and you will be notified in advance via in-app notifications or the email associated with your CloudSave account, as required by law.
  • Continued use after a price change constitutes acceptance of the new price.

3. Premium/Pro Subscriptions

3.1 Subscription Plans

Premium/pro subscriptions are offered on a recurring basis with the following billing cycles, as selected by you at the time of purchase:

  • Monthly: Renews every 30 days.
  • Annually: Renews every 365 days.

Plan details, including storage limits, features, and pricing (inclusive of applicable taxes, such as GST), are displayed in the Apps at the time of purchase.

3.2 Auto-Renewal

  • Your premium/pro subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel it before the renewal date.
  • The subscription fee will be charged to the payment method on file with the Google Play Store or Apple App Store, at the price displayed at purchase, plus applicable taxes.
  • Renewal charges are processed within 24 hours before the current billing cycle ends, ensuring uninterrupted access to premium/pro features.

3.3 Cancellation

  • You may cancel your premium/pro subscription at any time through your platform account settings, as described in Section 2.3.
  • Cancellation takes effect at the end of the current billing cycle, allowing you to use premium/pro features until the cycle ends.
  • No prorated refunds are provided for mid-cycle cancellations unless eligible under our Refund Policy.

3.4 Price Changes

  • Price changes for premium/pro subscriptions will follow the same process as described in Section 2.4, with notification and application to the next billing cycle.

4. Channel Subscriptions

4.1 Subscription Mechanism

  • Channel subscriptions provide access to premium content on user-created channels, as described in our Channel Policy.
  • Subscriptions are funded exclusively through CloudSave Coins, a virtual currency with no real-world monetary value, as outlined in our CloudSave Coins Terms.
  • You can acquire Coins via in-app purchases (through Google Play Store or Apple App Store) or earn them through promotional activities (e.g., watching ads or completing offerwalls).

4.2 Auto-Renewal

  • Channel subscriptions auto-renew at the end of each billing cycle (typically monthly) if your CloudSave wallet contains sufficient Coins to cover the subscription fee.
  • The required Coins are deducted from your wallet within 24 hours before the billing cycle ends, ensuring uninterrupted access to the channel’s premium content.
  • If your wallet lacks sufficient Coins, the subscription will not renew, and you will be unsubscribed from the channel. To resume access, you must manually resubscribe by ensuring sufficient Coins are available in your wallet.

4.3 Cancellation

  • You may cancel a channel subscription at any time through the CloudSave app by navigating to the channel’s settings and selecting the option to unsubscribe.
  • Cancellation takes effect immediately, ending access to the channel’s premium content. No Coin refunds are provided for mid-cycle cancellations unless eligible under our Refund Policy.

4.4 Fee Changes

  • Channel subscription fees (in CloudSave Coins) may be adjusted by channel creators or Axsa Technologies, subject to platform policies.
  • Fee changes will apply to your next billing cycle, with notification provided via in-app messages or the email associated with your account.
  • Continued subscription after a fee change constitutes acceptance of the new fee.

5. Payment Processing

  • Subscription and Premium/Pro Plans: Payments are processed by Google Play Store or Apple App Store, subject to their terms and conditions. You must maintain a valid payment method linked to your platform account.
  • Channel Subscriptions: Payments are deducted from your CloudSave wallet in the form of CloudSave Coins. You are responsible for maintaining a sufficient Coin balance for auto-renewals.
  • Taxes: All prices and fees include applicable taxes, such as Goods and Services Tax (GST), as required under Indian law. You are responsible for any additional tax obligations.

6. Refunds

  • Subscription and Premium/Pro Plans: Refunds are generally not provided, except for technical errors, unauthorized charges, or non-delivery of services, as outlined in our Refund Policy. Requests must be submitted within 24 hours to [email protected] or through platform refund channels (e.g., Google Play Store or Apple App Store).
  • Channel Subscriptions: Coin deductions for channel subscriptions are non-refundable, except in cases of technical errors or non-delivery of promised content, as per our Refund Policy.
  • Processing: Approved refunds for subscription or premium/pro plans are issued to your original payment method. For channel subscriptions, refunds may be issued as Coin credits to your wallet.

7. Notifications

  • We will notify you of upcoming renewals, price/fee changes, or insufficient Coin balances via in-app notifications or the email associated with your CloudSave account, as required by the Consumer Protection Act, 2019.
  • You are responsible for keeping your contact information up-to-date in your CloudSave account to receive these notifications.

8. Termination

  • By You: You may cancel your subscriptions at any time, as described in Sections 2.3, 3.3, and 4.3, or delete your CloudSave account to end all subscriptions.
  • By Us: We may suspend or terminate your subscriptions for violations of our Terms of Service, fraud, non-payment, or non-compliance with this Agreement, with notice where feasible.
  • Effect of Termination: Upon termination, access to ad-free, premium/pro features, or channel content ceases. You may resubscribe subject to compliance with our policies.

9. Consumer Protection

  • Under the Consumer Protection Act, 2019, you have rights to fair treatment, accurate information, and redressal for unfair practices.
  • For grievances related to subscriptions or this Agreement, contact our Grievance Officer at [email protected]. If unresolved, you may approach the National Consumer Helpline or a consumer court in Mumbai.

10. Governing Law and Dispute Resolution

  • Governing Law: This Agreement is governed by the laws of the State of Maharashtra, India, without regard to conflict of law principles.
  • Dispute Resolution: Disputes arising from this Agreement will be resolved through binding arbitration in Mumbai, in accordance with the Arbitration and Conciliation Act, 1996, conducted by a single arbitrator in English. Matters eligible for consumer courts under the Consumer Protection Act, 2019, are exempt from arbitration.

11. Changes to This Agreement

  • We may update this Agreement to reflect changes in our practices, platform requirements, or legal obligations.
  • It is your responsibility to review this Agreement periodically for updates by visiting the CloudSave website or app. Continued use of the Services after changes constitutes acceptance of the updated Agreement.

12. Integration with Other Policies

This Agreement is part of CloudSave’s broader policy framework, including:

  • Terms of Service: Governing overall use of the Services.
  • Privacy Policy: Detailing data collection and protection.
  • CloudSave Coins Terms: Governing the use of virtual currency.
  • Refund Policy: Outlining refund eligibility and processes.
  • Channel Policy: Regulating channel creation and content.
  • Monetization Policy: Governing channel revenue programs.
  • DMCA Policy: Addressing copyright infringement claims.
